PC upgrade advice

Im looking to upgrade my PC, but want some advise.....

 

Its currently :

 

Intel P4 3.2 ghz (Asrock P4i65g)

2GB DDR 400mhz ram

SATA 320GB HDD

ATI Radeon HD3650 513mb AGP Graphics card

550W PSU

 

Its the Motherboard and CPU Im looking to upgrade the most, and I'll have to replace the ram to as its currently the older ddr (not DDR2) stuff. Probably upgrade to 3 or 4gb

 

So what would be a decent upgrade for Board and CPU, how much would I have to spend ?

 

I dont have a clue on budget, cheaper is alway better, maybe somebody could reccomend some options in different price brackets ? Is a board and CPU package deal the best option ?
